Terms and Conditions

These Terms and Conditions (the "Terms") govern the use of the conversational artificial-intelligence services offered by Aura Intelligence SL under the "aiDex" brand through the website https://aidex.chat. By creating an account you confirm that you have read, understood and agreed to be bound by these Terms.

1. Definitions

aiDex / We
Aura Intelligence SL, provider of the Service.
Service
The aiDex platform available at aidex.chat, including its Team, Compare, Judge, Pipeline, Solo and Image modes.
User / You
Any natural or legal person who creates an account and uses the Service.
Consumer
An individual User acting for purposes outside of their trade, business, craft or profession (Art. 3 TRLGDCU).
Business Customer
A User acting for purposes related to their trade, business, craft or profession.
User Content
Prompts, files, messages and other content supplied by the User to the Service.
AI-Generated Content
Responses, images or other outputs produced automatically by the AI models accessible through the Service.
BYOK
Bring Your Own Key — the model under which the User provides their own AI-provider API keys.

3. Acceptance and capacity

Only persons with legal capacity to enter into contracts may engage the Service. Account holders must be at least 16 years old. Where the User is a legal person, the individual accepting these Terms warrants their authority to bind it.

Registration constitutes express acceptance of these Terms, the Legal Notice and the Privacy Policy. The acceptance is recorded and associated with the User's account in our systems.

4. Description of the Service

aiDex provides an orchestration layer that lets the User interact with one or more third-party AI models, including:

  • Team mode — a roundtable of model-personas with a moderator.
  • Compare mode — parallel execution of the same prompt against several models.
  • Judge mode — synthesis by an evaluator model of the parallel responses.
  • Pipeline mode — sequential stages (e.g. draft → critique → revise).
  • Solo mode — chat with a single model.
  • Document generation and editing (DOCX), web search and image generation.

aiDex operates on a BYOK model: calls to AI-model providers are made using the API keys supplied by the User. aiDex does not grant access to commercial models without the User providing the corresponding key.

5. User account

Registration is by email and magic-link verification. The User is responsible for the truthfulness of the data supplied and for the confidentiality of their access. Any activity performed from the User's account will be deemed to be performed by the User.

The User may close their account at any time from Settings → "Delete account". Closure entails the immediate and definitive deletion of stored conversations, documents, teams and API keys, without prejudice to legally required retention periods for billing data.

6. Prices, billing and VAT

The Service is offered on a free plan and on paid subscription plans (Plus and Pro). Current prices are published at https://aidex.chat/pricing. Unless otherwise stated, prices are exclusive of VAT; VAT is applied at billing at the rate legally applicable to the User, based on their country of residence or establishment.

aiDex uses the One-Stop-Shop (OSS) scheme to remit VAT on B2C intra-EU operations. For Business Customers established in other EU Member States with a valid VAT-EU number, the reverse-charge mechanism applies.

Subscriptions automatically renew at the end of each billing period unless cancelled in advance. Cancellation takes effect at the end of the current period and does not trigger refunds for the portion already enjoyed (without prejudice to the right of withdrawal in clause 7).

The User is solely responsible for amounts billed by AI providers for usage of the API keys the User supplies. aiDex does not bill for inference: our charge is limited to the orchestration layer.

7. Right of withdrawal (Consumers)

Pursuant to Articles 102 to 108 TRLGDCU, the Consumer has 14 calendar days from contracting the Service to withdraw without giving any reason.

For digital services supplied immediately, Article 103.m) TRLGDCU allows the Consumer to lose the right of withdrawal where they have given prior express consent for performance to begin during the withdrawal period and have acknowledged that they will lose the right.

Accordingly, when purchasing a paid plan the Consumer may tick a box by which (i) they expressly request that the Service begin to be supplied immediately and (ii) they expressly acknowledge that they will lose the right of withdrawal once the contract is fully performed. The consent is recorded in aiDex's systems with timestamp and order identifier.

If the Consumer does not give such consent, they may withdraw by emailing support@aidex.chat within the 14 days; in that case the amount paid will be refunded via the original payment method within a maximum of 14 days, less, where applicable, the pro-rata share of Service already provided.

8. Acceptable use

The User undertakes not to use the Service to:

  • Infringe applicable law or the rights of third parties (including intellectual or industrial property rights, image rights, professional secrecy or confidentiality obligations).
  • Generate illegal content under Regulation (EU) 2022/2065 (DSA), including material infringing fundamental rights, child sexual exploitation material, hate speech or incitement to terrorism.
  • Create, store or disseminate non-consensual sexual content, intimate images of third parties, or deepfakes intended to defame or impersonate real persons.
  • Impersonate any person or entity, misrepresent the origin of content, or label as human anything that has been AI-generated in contexts where the omission would mislead.
  • Probe, scan or test the vulnerability of the Service's infrastructure without prior written authorisation.
  • Circumvent usage limits, quotas, anti-fraud mechanisms or security controls of the Service.
  • As a Business Customer, process personal data of third parties without a proper legal basis and, where applicable, without having executed aiDex's available Data Processing Agreement (DPA).

A breach of acceptable use may result in immediate suspension of the Service, without prejudice to any legal action.

9. AI-generated content

In accordance with Article 50 of Regulation (EU) 2024/1689 (AI Act), aiDex informs Users that responses and content produced through the Service are generated automatically by AI models and may contain inaccuracies. Generated images are expressly identified as AI-generated content in the interface.

Content filtering for prohibited content is applied by the model providers selected by the User (OpenAI, Google, etc.) in accordance with their respective policies. aiDex does not currently apply an additional in-house filter on top of the content submitted to such providers.

The User is responsible for the use they make of AI-Generated Content. Such content does not constitute professional medical, legal, financial or any other kind of advice; it must be verified before being used in decisions of consequence.

10. Intellectual property

As between the parties, the User retains ownership of User Content. The User grants aiDex a worldwide, non-exclusive, royalty-free licence, limited to the period strictly necessary to provide the Service, to store, process, transmit, technically copy, display and, where applicable, send User Content to the AI providers selected by the User.

Ownership of and rights in AI-Generated Content are governed by the terms of the relevant model provider. aiDex does not claim ownership of output beyond what is strictly necessary to store it and return it to the User.

aiDex retains all rights in the platform, including software, design, trademarks and distinctive signs. No rights over these are granted to the User beyond what is strictly necessary to use the Service in accordance with these Terms.

11. Service availability

aiDex will endeavour to keep the Service available but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates and unscheduled outages due to technical reasons or force majeure may occur.

The free plan does not include any service-level commitment. Specific commitments for paid plans, if any, will be detailed in the commercial documentation published on the Website.

12. Liability and limitation

aiDex is liable for direct damages arising from wilful misconduct or gross negligence in performance of its obligations, and for cases of mandatory liability under applicable law (including liability vis-à-vis Consumers for damage to their person or health).

Outside of those cases, aiDex's aggregate total liability to a User shall be limited to the greater of (a) one hundred euros (€100) or (b) the sum of amounts effectively paid by the User as aiDex subscription fees in the twelve (12) months preceding the event giving rise to the claim.

In no event shall aiDex be liable for indirect damages, lost profits, loss of opportunity or loss of data where a reasonably recoverable copy is available to the User. These limitations do not apply to Consumers to the extent prohibited by mandatory law.

aiDex is not liable for decisions, performance or breaches by external AI-model providers or other sub-processors. The relationship between the User and such providers is governed by their respective terms.

13. Suspension and termination

aiDex may suspend or terminate the contract, in whole or in part, in the event of material breach of these Terms, of applicable law or of the policies of the model providers whose use the Service facilitates. Save where urgency advises otherwise, a reasonable cure period will be granted before termination.

The User may terminate at any time by closing their account, with the effects described in clause 5.

14. Amendments to the Terms

aiDex may amend these Terms to reflect changes in the Service, applicable law or commercial practices. Material amendments will be notified to the User by email with at least 30 days' advance notice, during which the User may reject the amendments by closing their account at no cost. Continued use of the Service after entry into force will constitute acceptance.

15. Governing law and jurisdiction

These Terms are governed by Spanish law. For any dispute, the parties submit to the Courts and Tribunals of Barcelona (Spain), except where the User is a Consumer domiciled in another EU Member State, in which case the courts of the User's domicile shall have jurisdiction (Regulation (EU) 1215/2012, Brussels I bis).

Before resorting to the courts, the Consumer may attempt to resolve the dispute through the European online dispute resolution platform: https://ec.europa.eu/consumers/odr (Regulation (EU) 524/2013). aiDex informs Users that, save for subsequent legal obligation, it is not adhered to any specific arbitration system.

16. Complaints, complaint forms and DSA contact

Complaints may be sent to support@aidex.chat. aiDex makes complaint forms available to Consumers and undertakes to acknowledge receipt within 14 days and to resolve the complaint within one month of receipt.

In accordance with Article 16 of Regulation (EU) 2022/2065 (DSA), aiDex provides the following point of contact for notifications of allegedly illegal content generated or disseminated through the Service: legal@aidex.chat.

17. Miscellaneous

The invalidity or unenforceability of any provision shall not affect the remainder, which shall remain in full force. aiDex's failure to require strict compliance with a provision shall not be construed as a waiver. The User may not assign the Terms without aiDex's prior written consent; aiDex may assign the contract to any affiliate or legal successor.
